Accountabilities: Draft, review, negotiate, and manage a broad range of commercial agreements, including customer contracts, pilot and deployment agreements, licensing agreements, and strategic partnerships.

Partner with business development and sales teams to structure deal terms that align commercial objectives with legal risk management.

Support early-stage commercial initiatives, product launches, and innovative deal structures for new customer and partner relationships.

Develop and maintain contract templates, negotiation guidelines, and scalable processes to improve contracting efficiency.

Negotiate supply chain, manufacturing, vendor, and component sourcing agreements with domestic and international partners.

Advise on intellectual property ownership, licensing, indemnification, warranties, and liability provisions related to manufacturing and technology arrangements.

Structure and negotiate technology licensing, joint development, and intellectual property assignment agreements.

Collaborate with internal teams to support IP protection strategies involving patents, trademarks, trade secrets, and technology partnerships.

Provide practical legal guidance on risk management topics, including insurance, limitation of liability, compliance considerations, and commercial obligations.

Work cross-functionally with finance, engineering, manufacturing, supply chain, and leadership teams to support business objectives under evolving timelines.

Requirements:

Juris Doctor (JD) or equivalent law degree from an accredited institution.

Active and in good standing bar membership in at least one U.S. state or equivalent jurisdiction, with the ability to obtain additional authorization if required.

6–10+ years of post-qualification legal experience as a practicing transactional attorney, including experience in law firm, in-house, government, or similar environments.

Proven experience drafting and negotiating commercial agreements, technology transactions, supply/manufacturing agreements, and licensing arrangements.

Experience supporting hardware, robotics, technology, or advanced product companies is highly preferred.

Strong deal structuring experience, including support for new product launches, strategic partnerships, joint ventures, financings, M&A, or other corporate transactions.

Knowledge of intellectual property, technology licensing, export controls, and international commercial law considerations.

Strong business judgment with the ability to provide practical, solution-oriented legal advice.

Ability to manage ambiguity, prioritize competing priorities, and create structure in fast-paced environments.

Excellent communication and stakeholder management skills, including the ability to influence senior leaders and cross-functional teams.

Collaborative mindset with a commitment to team success and willingness to support broader organizational needs.

Ability to operate effectively under pressure, manage deadlines, and handle complex negotiations.
