Senior Legal Counsel
About the Role The Senior Legal Counsel at Rydena is a full-time on-site role responsible for driving the company's legal operations, protecting commercial interests, and supporting cross-functional business teams. In this position, you will manage complex contractual frameworks independently, ensure corporate compliance, and help modernize the legal function through digital solutions.
Key Responsibilities
- Contractual Work (~70% of Working Time)
• Full Lifecycle Contract Management: Independently draft, review, negotiate, and execute complex civil and foreign trade agreements, including supply, construction, service, transportation, lease, tolling, agency, licensing, NDAs, MOUs, and LOIs. • Risk & Due Diligence: Conduct thorough legal due diligence on counterparties; assess, substantiate, and negotiate terms to minimize legal, financial, and commercial risks. • International Trade & Sanctions: Apply deep practical knowledge of Incoterms® 2020, customs regulations, currency controls, and international sanctions regimes (OFAC, EU, UK OFSI). • Legal Tech & Process Modernization: Utilize Electronic Document Management Systems (EDMS), draft legal specifications for internal automated contract tools, and maintain standardized templates across multiple legal regimes.
- Corporate Work (~10% of Working Time)
• Governance: Convene and support meetings for the Board of Directors and General Meeting of Shareholders/Participants (including remote/written voting). • Regulatory & Register Maintenance: Prepare and register amendments to constitutional documents with the State Register; draft CEO orders and internal corporate resolutions. • M&A & Transactions: Analyze and execute share/equity transactions, corporate approvals for major/related-party transactions, and draft corporate/option agreements.
- General Advisory and Legal Operations (~20% of Working Time)
• Business Support: Provide actionable legal advice to internal departments, handle power-of-attorney administration, and draft internal local regulations and policies. • Regulatory Compliance: Support licensing, certification, and permit applications; liaise directly with banks, notaries, counterparties, and government entities. • Innovation: Implement modern workflows and leverage AI tools to optimize daily tasks and elevate overall legal department efficiency.
General Requirements • Education: Higher legal degree with a mandatory specialization in Civil Law. Advanced training in Contract Law or International Commercial Law is a plus. • Experience: 7+ years of practical legal experience, heavily focused on contract law and in-house support. Background in large international companies (manufacturing, trading, construction, or engineering) is highly advantageous. • Core Skills & Technical Competency: • Expertise in Incoterms® 2020, foreign trade, and basic knowledge of English/Common Law and international arbitration (ICC, LCIA, HKIAC, SIAC, ICAC). • Proficient with EDMS software, advanced Track Changes, and document formatting. • Hands-on familiarity with AI tools and neural networks for day-to-day productivity. • Soft Skills: Logical and flexible mindset, high attention to detail, strong time-management skills, and an proactive approach to improving internal workflows. • Language & Availability: • English proficiency at B2+ (Upper-Intermediate) or higher preferred. • Flexibility to manage urgent, business-critical tasks outside regular hours when necessary, strictly in accordance with the Labor Code of the Republic of Armenia.
