SENIOR CORPORATE OFFICER

Department: Corporate

Tasks (what does the role do on a day-to-day basis) and Responsibilities

The Senior Corporate Officer will report to the Manager of the team or directly to the Head of Pool (HoP) and will:

  • Manage a portfolio of Institutional clients active in the real estate industry (the entities are Propcos and Holdcos with assets located in different countries)
  • Review deliverables prepared by the Global Client Delivery (GCD) for this client's portfolio and monitor answer to clients' requests
  • Draft legal documents (board / shareholders' minutes, agreements, proxies, articles of incorporation, extraordinary / ordinary general meetings, change of manager(s), notices etc)
  • Review the legal documents drafted by the team or the GCD
  • Organize Board and Shareholders' meetings
  • Attend and lead Board / Shareholders' meetings and take minutes
  • Ensure the application of our internal procedures
  • Closely collaborate with other departments, mostly the Accounting Department, Tax department and the GCD
  • Manage the relationships with the asset manager, real estate asset manager, the property manager, the tax advisor, the auditors, the lawyers and the banks
  • Follow up and manage on-going client business and possibilities for organic growth
  • Ensure that KYC (Know Your Client) and KYT (Know Your Transaction) requirements are applied, check and maintain compliance files
  • Assist the FATCA CRS team for the FATCA and CRS reportings if applicable
  • Assist in coaching and developing team members within their role
  • Checks and follows up on client satisfaction

Requirements

  • Master or Bachelors degree
  • 4-6 years of experience in Corporate law and significant experience in Real Estate. Knowledge in SICAR, SIF, RAIF is an asset
  • Knowledge of MS Office and familiarity with relevant computer software (e.g. SAP)
  • Experienced in handling: acquisition of participation's, board resolutions, incorporation and liquidation of a company, proxies, advanced knowledge of annual reporting law
  • Knowledge of local legal requirements in Germany, Italy, Spain or Portugal, will be a great advantage
  • Languages: Fluent in English, any other language would be an advantage (especially French and/or German)
