Our client, a leading global financial institution, is seeking a Senior Assistant Company Secretary to join its Governance function and support the effective governance and administration of a portfolio of companies subsidiaries and branches.

The role will provide company secretarial and corporate governance support to Boards, Board Committees and senior management, while ensuring compliance with applicable statutory, regulatory and governance requirements.

This is a senior role offering broad exposure to a large, complex and highly regulated financial services organisation, with opportunities to work closely with senior stakeholders across Legal, Compliance, Risk, business functions and other Group teams.

Key Responsibilities

  • Manage and coordinate Board and Committee meetings, including agendas, papers, minutes, resolutions and follow-up actions.
  • Take ownership of the company secretarial and corporate governance arrangements for a portfolio of companies, subsidiaries and other entities.
  • Provide advice and guidance to Boards, Committees and senior management on corporate governance, company secretarial and statutory matters.
  • Ensure timely and accurate completion of statutory filings, regulatory requirements, corporate records and governance documentation.
  • Oversee relevant governance and regulatory obligations for branches.
  • Manage and maintain Powers of Attorney for companies, subsidiaries and branches.
  • Support the governance and company secretarial aspects of corporate transactions, restructurings and other strategic business initiatives.
  • Support the Company Secretary on Board and Director appointments, onboarding and related governance matters.
  • Manage corporate governance and listing-related requirements for listed Group entities, where applicable.
  • Interpret and apply relevant company law, regulations and regulatory requirements.
  • Build strong relationships with senior internal and external stakeholders, including Legal, Compliance, Risk, business teams, external advisers and regulators.
  • Provide guidance and support to junior team members and contribute to the development of the Governance function.
  • Identify and implement opportunities to simplify processes, improve efficiency and strengthen governance practices.

Requirements

  • Degree or professional qualification in Law, Company Secretarial Practice, Corporate Governance or a related discipline.
  • Relevant professional qualification such as Chartered Governance Institute (CGI/ICSA) would be advantageous.
  • Solid experience in company secretarial, corporate governance and regulatory matters, preferably within a large and complex organisation.
  • Experience supporting Boards, Board Committees and senior management.
  • Strong understanding of company law, statutory requirements and corporate governance practices.
  • Experience managing a portfolio of companies, subsidiaries or other corporate entities.
  • Experience in a banking, insurance or other regulated financial services environment would be highly advantageous.
  • Exposure to corporate transactions, restructuring, M&A or other significant business initiatives would be an advantage.
  • Knowledge of individual accountability regimes and governance requirements within regulated financial institutions.
  • Experience with listed companies and listing-related requirements would be advantageous.
