About the role and what you'll be doing: Ensono's global Commercial Contracting Office has opened a position for a Corporate Counsel role. This position provides front line support for Ensono's global sales and strategic revenue generating commercial transactions by collaboratively setting deal structure and strategy, performing contract review, drafting and negotiation, coordinating internal approvals and taking overall responsibility for deal completion. The successful candidate will serve as a trusted business advisor to Sales and internal stakeholders, balancing risk management with commercial objectives and developing practical solutions that enable transactions to move forward.

We are looking for a talented attorney with strong business acumen, initiative, drive and experience who can handle a high volume of varied and complex commercial transactions. This position will play a pivotal role in Ensono achieving its strategic and financial objectives by providing consultative, strategic and analytic support services on commercial transactions. The ideal candidate will have a demonstrated ability to develop strong working relationships with key internal stakeholders, as well as Ensono's sophisticated enterprise sales or outsourcing customers. The ideal candidate is a collaborative, commercially minded negotiator who thrives in a fast-paced sales environment and takes ownership of driving transactions to successful outcomes.

What You Will Do

• Lead commercial transactions to closure in prudent and expeditious and solutions-oriented manner

• Drafting, reviewing and negotiating complex transaction agreements

• Identifying and mitigating issues and risks and ensuring that the business understands risks associated with contract language and positions, while developing practical alternatives that support business objectives

• Provide risk assessment and commercial legal advice, including advice related to relevant laws and regulations

• Exercise judgment and delegated authority on wide-ranging issues

• Coordinate across multiple internal organizations to resolve issues ensure compliance with laws, regulations and company policies

• Vet contract issues/requests with appropriate internal organizations, track responses, and draft resulting feedback

• Prepare and administer escalations as necessary

• Advising on existing contracts, including but not limited to contractual obligations and the resolution of contract disputes, with a focus on achieving commercially reasonable outcomes

• Identify, develop and drive implementation of solutions to deal roadblocks through creative problem-solving, stakeholder alignment and effective negotiation

• Project manage multiple deals to closure simultaneously

• Present training to client groups on transaction legal issues and strategies

• Continuously seek to improve the transaction support process

• Partner closely with Sales, Delivery, Finance, Security, Privacy and executive leadership to structure transactions that achieve strategic, operational, and financial objectives.

• Limited travel may be required

What You Will Need:

Demonstrated success in complex contract review, drafting and negotiation for sales/outsource transactions involving technology products/services.

General understanding regarding data privacy laws and regulations and impact on commercial transactions

Experience with responsibility for all aspects of commercial transactions, including basic financials and all non-pricing business issues and contract terms

Familiarity with all phases of sales/outsource contracting from pre-contract Requests for Proposals/Bids to contract negotiation/execution and post-contract legal support

Experience contracting with state and local government clients

Successful record of interacting with sophisticated enterprise customers, and their third-party representatives, as transaction counterparties

Proven ability to provide entrepreneurial, quick-thinking, pragmatic, business-oriented advice and recommendations in support of revenue-generating transactions

Excellent verbal and written communication skills, including ability to summarize issues to clients/management

Ability to effectively counsel clients concerning legal and business risks in sales transactions while preserving momentum and advancing negotiations toward resolution

Ability to work independently with little supervision in a fast-paced environment

Ability to rapidly assess potential risks, benefits and consequences of business decisions

Well-honed project management and organizational skills needed to manage multiple/complex transactions

Must be able to prioritize to meet deadlines

Independent initiative to develop, lead and implement special projects that enhance contracting processes

Strong work ethic and strong sense of responsibility for high quality work product

Ability to achieve results under pressure/deadlines

Demonstrated ability to negotiate complex commercial agreements in a manner that builds credibility with counterparties and facilitates successful deal completion.

Strong commercial judgment with the ability to distinguish between material risks and negotiable positions and to recommend practical paths forward.

Demonstrated ability to balance legal, operational and financial considerations while supporting business growth and revenue objectives.

Requirements:

J.D. from an accredited law school

Active bar admission in at least one US jurisdiction

3-5 years of relevant and recent complex commercial transactions experience in an IT Managed Service Provider environment

As of the date of this posting, a good faith estimate of the current pay scale for this role is $106,000 to $152,000 annually based on a full-time schedule. Please note that placement in the range may vary based on numerous factors including but not limited to skills, experience, internal equity, and business needs. In addition to base salary, other compensation programs, depending on eligibility, include an annual bonus plan based on company and individual performance and an equity grant under our Associate Equity Appreciation Program.
