International Business Law & Compliance Lawyer M/F (H/F)
The purpose of the position is to ensure the legal protection of SPIE Global Services Energy during all contract negotiations that all our subsidiaries may sign. To be an advisor and an expert serving operational and functional teams to jointly define the legal strategy while preserving the interests of SPIE Global Services Energy. To support teams in the analysis, negotiation, execution, and closure of contracts by proposing pragmatic and effective solutions, while guaranteeing compliance with our procedures and the applicable regulatory and legislative contexts, both in France and internationally. On the compliance side, to act as the local liaison for teams regarding the deployment of the Compliance program and specifically, the fight against corruption in all its aspects.
- Review, draft, and qualify a wide variety of contracts (MOU, confidentiality agreements, partnership agreements, service agreements, operation and maintenance contracts, turnkey projects) and participate in their negotiations;
- Participate in monitoring the execution of certain contracts, notably through certain contract management acts;
- Review and negotiate parent company guarantees;
- Prepare the legal documentation for tender responses;
- Participate in the risk review process by identifying legal, statutory, and contractual risks and providing support to avoid or limit these risks, proposing innovative solutions capable of reducing risks;
- Provide expertise and advice in business law, both in France and internationally, to internal clients based in France and in all our international subsidiaries;
- Propose schemes to internal clients that correspond to their needs;
- Monitor international and national litigation and pre-litigation and manage external lawyers;
- Participate in the updating and development of clause or contract templates;
- Prepare internal training modules on business law topics;
- Monitor legislative and regulatory developments applicable to these operations;
Act as the local liaison for the implementation of corporate governance, the rules of the code of conduct, and all applicable ethical procedures (reminder of rules, training...).
Pack Office (advanced Excel and PowerPoint). Higher legal education (Master's degree/Bac +5) in Business Law. At least 5/7 years of experience in a company or a law firm. CRFPA is a plus. An appetite for LegalOps is a plus. Fluent English. Spanish is a plus. Making complex subjects understandable to teams by proposing concrete solutions. Listening to the needs of teams to respond to them as best as possible.
