As part of the establishment of the LC MACAPAC Hub in Singapore, we are seeking a Senior Legal Counsel —Mergers & Acquisitions to serve as the founding LC MAC legal resource for M&A transactions and corporate activities across the Asia-Pacific region, working in close collaboration with existing regional legal capabilities, including SFS EQ legal support already established on the ground. This hub is a strategic extension of the global LC MAC footprint — to further strengthen transaction execution on the ground. Aligned with Siemens' ONE Tech Company vision, this role sits at the intersection of global M&A transaction management and regional strategic impact. You will operate as a fully integrated member of the LC MAC function — driving end-to-end M&A transactions, while bringing critical on-the-ground perspective to one of Siemens' most important growth regions. The role is designed to scale as regional deal flow grows.
Key Responsibilities M&A Transactions: Front-end strategic M&A transactions in the region across Siemens Businesses (SI, DI, MO, Advanta) throughout APAC, and collaborate on SFS EQ investments in coordination with existing regional legal support — managing the full transaction lifecycle from preliminary advice, structuring, and due diligence through negotiation, signing, closing, and post-closing integration. Analyze complex legal issues, assess and manage legal risks with independence and judgment, develop solution-oriented strategies, and deliver commercially calibrated legal advice directly to business leadership and internal stakeholders. Take ownership of end-to-end transaction documentation — drafting, reviewing, and negotiating share purchase agreements, investment agreements, joint venture agreements, shareholder agreements, and ancillary documents — and lead negotiations with external counterparties. Provide strategic transaction advisory that reflects deep business understanding, proactive risk management, and the ability to navigate multi-jurisdictional deal complexity across APAC. Global Deal Support: Advise on the APAC footprint of global M&A transactions in close collaboration with LC MAC, ensuring seamless cross-border execution and consistency of approach Coordinate with, brief, and manage external counsel across multiple APAC jurisdictions — ensuring quality, cost-effectiveness, and alignment with Siemens' global transaction standards and playbooks. Build and leverage relationships with HQ colleagues to ensure the hub operates as a fully integrated node within the global LC MAC network. Corporate Advisory: Provide legal advisory for the setup, governance, restructuring, and corporate housekeeping of Siemens group companies across APAC, including carve-out structuring and execution. Serve as a trusted business advisor to regional stakeholders — including MAP and SFS EQ Asia-Australia teams — translating Siemens' strategic initiatives into legally sound, commercially actionable outcomes. Play a key role in regulatory liaison, competition/antitrust, and compliance matters relevant to M&A activities and corporate structuring in APAC jurisdictions. AI& Digital Transformation Advisory: Leverage APAC's accelerated digital adoption to track emerging AI trends and assess their implications for M&A — channeling insights to LC MAC to stay ahead of the curve. Actively drive the adoption of AI, Legal Tech, and digital tools relevant to legal M&A — to enhance quality, effectiveness, and efficiency across the LC MAC function. Hub Development & Stakeholder Engagement: Anchor the LC MAC APAC Hub as its founding resource — establishing its operational framework, stakeholder relationships, and external counsel networks, complementing and building upon existing legal capabilities in the region. Build sustained local expertise, cultivate direct engagement with regional business partners, and develop deeper strategic relationships with leading law firms across APAC. Act as a cross-functional stakeholder connector between APAC business teams, LC MAC HQ, and other Siemens functions to address strategic priorities across the region. Subject to the hub scaling through phased, demand-driven expansion, the role may evolve into team management responsibility — fostering a culture of excellence, knowledge sharing, and continuous improvement.
What Do I Need to Qualify for This Role? Education: Excellent academic record in law and fully qualified to practice in a common law jurisdiction or equivalent qualification. Experience& Knowledge: Significant post-qualification experience (typically 8–12 years) in M&A and corporate law, gained through a combination of work at a leading international law firm and/or in-house legal departments of multinational corporations. Significant tenure within Siemens or a comparable global industrial/technology company is strongly preferred. Proven track record of independently leading and executing complex, cross-border M&A transactions — from structuring and due diligence through negotiation, documentation, and closing. Combined expertise in both M&A transactional work and corporate law (entity management, governance, carve-outs) — reflecting the dual mandate of this hub role. Experience working across multiple business units or divisions within a diversified industrial or technology group is an advantage. Strong familiarity with common law legal frameworks and regulatory landscapes across key APAC jurisdictions. Ability to collaborate effectively across civil and common law legal systems. Experience working within or in close collaboration with a corporate headquarters legal function is a distinct advantage. Familiarity with competition/antitrust law, FDI regulations, and compliance frameworks relevant to cross-border M&A is highly valued. Working Style & Skills: Strategic transaction advisor with in-depth business understanding. Effective cross-functional stakeholder management — proven ability to build trust and influence across businesses, functions, geographies, and management levels. Self-starter with the initiative, resilience, and confidence to establish and shape a new function from the ground up. Proactive approach to risk management — able to identify, quantify, and communicate legal risks in a way that enables informed business decision-making. Demonstrated leadership trajectory, ideally evidenced through participation in formal leadership development programs and/or progressive responsibility across roles. Proven initiative in leveraging AI, Legal Tech, and digital tools to drive transformation and efficiency in legal workflows. Exceptional intercultural and communication skills, with the ability to engage effectively across diverse teams, cultures, and legal traditions. Language Skills: Fluency in English (business and legal) is required. Knowledge of German / additional Asian languages is an advantage.
