For our client, a leading public institution in Earth sciences, we are looking for a Corporate Lawyer (M/F) on a CDI contract in Orléans (45).

Reporting to the Affaires Juridiques unit, you will guarantee the legal security of the institution and its subsidiaries.

Your Missions:

  • Corporate Life & Governance: Legal secretariat for Boards of Directors and General Meetings, management of the subsidiaries' life cycle (creation, dissolution), drafting of deliberations, and advising governing bodies.
  • Contracts: Drafting, reviewing, and negotiating complex contracts (shareholders' agreements, articles of association, intra-group agreements, NDA).
  • Compliance & Monitoring: Management of the delegation of authority matrix, monitoring of regulations (Code de la recherche, Code de commerce), and legal monitoring.

Training: Master's degree (Bac+5) in Business Law with a specialization in Corporate Law. Experience: Minimum 5 to 10 years in a similar position. Skills: Excellent mastery of corporate/contract law, legal English, and impeccable spelling. Knowledge of public procurement or intellectual property is a plus. Qualities: Rigor, reactivity, diplomacy, and a strong sense of confidentiality.
