Legal Specialist | Corporate and Corporate Governance | Publicly Traded Company | Hybrid Model

A large-scale company in the technology sector, located in the South Zone of São Paulo and with a hybrid work model, is looking for a Legal Specialist in Corporate and Corporate Governance. The position will have a strategic role in matters related to a publicly traded company, with interface with CVM and SEC, participation in the routines of general meetings, Board of Directors, and committees, as well as the drafting and review of highly complex corporate documents. This is a role with autonomy, exposure, and proximity to senior leadership, embedded in a large-scale corporate environment and acting on themes relevant to the business. Responsibilities and duties

• Strategic action in Corporate Law and Corporate Governance of a publicly traded company, participating in themes relevant to the business;
• Preparation, review, and conduct of general meetings, Board of Directors meetings, committees, and other governance bodies;
• Drafting and reviewing minutes, bylaws, regulations, powers of attorney, material facts, announcements, and other corporate documents;
• Interface with CVM, SEC, and other regulatory bodies, monitoring periodic and occasional obligations applicable to the company;
• Support for routines regarding the disclosure of information to the market and compliance with best corporate governance practices;
• Organization and monitoring of the corporate agenda, ensuring compliance with deadlines, formalities, and regulatory obligations;
• Legal advisory to senior leadership and internal areas on corporate and governance matters;
• Participation in strategic projects, corporate reorganizations, and other relevant corporate operations;
• Interface with external law firms, auditors, and other partners involved in the company's corporate demands.

Requirements and qualifications

• Completed degree in Law, with active OAB;
• Advanced English;
• Solid experience in Corporate Law and Corporate Governance, acting in publicly traded companies or advising publicly traded companies on relevant themes in the area;
• Experience with CVM, governance bodies, and regulatory obligations applicable to publicly traded companies;
• Experience with complex corporate structures and themes of greater relevance and exposure;
• Ability to interact with executives, leadership, and different areas of the organization;
• Postgraduate studies or specialization in Corporate Law, Capital Markets, or Corporate Governance will be considered a differentiator.
