Legal Manager (M&A)
Our client is an established international organization with a diversified business presence across Asia and other global markets. As part of its continued growth and regional expansion, the company is seeking an experienced legal professional to join its Singapore headquarters. This is an opportunity to assume a commercially focused role, supporting strategic investments, cross-border transactions and broader legal matters within a dynamic multinational environment.
Responsibilities
Reporting to the Legal Director, the successful candidate will play a pivotal role in overseeing the Group's legal affairs, with particular emphasis on mergers and acquisitions, joint ventures, corporate restructuring and strategic business expansion. The role encompasses the full transaction lifecycle, including deal structuring, legal due diligence, documentation, negotiations, regulatory approvals and post-completion matters. Working closely with senior management and cross-functional stakeholders, the individual will provide commercially sound legal advice on complex contractual arrangements, corporate governance, regulatory compliance and risk management.
Additional responsibilities include supporting the establishment and governance of overseas entities, overseeing corporate secretarial matters, managing intellectual property portfolios and resolving commercial disputes. The incumbent will also collaborate with external legal advisers across multiple jurisdictions, strengthen internal legal policies and processes, drive improvements in legal operations and provide guidance to junior members of the legal team.
Requirements
The ideal candidate will possess a recognised law degree with at least 5PQE. Admission to practice in Singapore or another common law jurisdiction would be advantageous. Strong expertise in corporate transactions, particularly cross-border M&A and joint ventures, is essential. Candidates with prior corporate or M&A private practice experience, complemented by an in-house legal background within a regional or multinational organisation, will be highly regarded.
A solid understanding of corporate, commercial and regulatory frameworks across Singapore and Asia is required, with exposure to regional markets considered beneficial. Experience within manufacturing, supply chain or consumer-related industries would be advantageous. Proficiency in both English and Mandarin is required to engage effectively with Mandarin-speaking business partners and external stakeholders.
The successful candidate should demonstrate strong commercial acumen, negotiation capabilities and the ability to independently manage complex legal matters. Excellent stakeholder management, sound judgement and a pragmatic, solutions-oriented approach are essential. Prior experience mentoring junior legal professionals and managing external counsel across jurisdictions will be viewed favorably.
