Deputy Company Secretary - Global Entities
Accountabilities: Entity management: Own the day-to-day company secretarial and entity management workload for more than 100 entities across multiple jurisdictions, ensuring high standards of accuracy, quality, and timely delivery.
Corporate documentation: Draft board minutes, written resolutions, powers of attorney, bank mandates, shareholder approvals, and other corporate documentation using established templates, adapting them appropriately and escalating matters requiring specialist legal input.
Execution management: Coordinate end-to-end document execution across jurisdictions, including director circulation and signatures, notarisation, apostillation, legalisation, and courier arrangements, while tracking progress and following up to completion.
External provider management: Instruct, coordinate, and manage local corporate service providers, company secretarial agents, and external advisers, reviewing their deliverables, monitoring costs, and ensuring agreed timelines are met.
Entity records: Maintain the group structure chart, entity records, statutory information, and corporate databases, ensuring systems such as Diligent Entities and SharePoint remain complete, accurate, and current.
Data remediation: Identify and resolve legacy data gaps and inconsistencies across entity records, driving remediation activities to strengthen the integrity of corporate information.
Compliance calendar: Manage statutory filing deadlines, annual returns and accounts, director and officer changes, registered office updates, constitutional amendments, and other recurring corporate compliance obligations.
Risk escalation: Monitor compliance activities proactively, identify potential delays or risks, and escalate issues early to ensure obligations are completed within required deadlines.
KYC and AML: Prepare and coordinate KYC/AML documentation for banks, auditors, advisers, counterparties, and other stakeholders, managing recurring refresh cycles and responding efficiently to urgent requests.
Entity simplification: Support mergers, members’ voluntary liquidations, de-registrations, strike-offs, and other entity simplification initiatives while coordinating with HR, benefits, facilities, tax, finance, and external advisers.
Corporate transactions: Support M&A, joint ventures, refinancing, restructuring, governance initiatives, and other corporate projects from a company secretarial perspective, including condition precedent and closing deliverables.
Post-completion integration: Assist with the corporate integration of acquired entities and ensure required governance and entity-management actions are completed following transactions.
Process improvement: Improve company secretarial processes, templates, trackers, guidance, and workflows, including opportunities to increase the use of technology and automation.
Stakeholder management: Build effective working relationships with directors, senior management, Group Legal, external advisers, service providers, and colleagues across multiple jurisdictions and time zones.
Knowledge development: Stay current with relevant company secretarial, governance, compliance, and entity-management requirements, while learning group processes and requirements applicable to non-Indian jurisdictions.
Requirements
Professional qualification: Associate Company Secretary (ACS) qualification and active membership of the Institute of Company Secretaries of India (ICSI) .
Education: Bachelor’s degree in Commerce, Law, Business Administration, Corporate Secretaryship, or a related discipline.
Professional experience: Approximately 5–8 years of post-qualification experience in company secretarial, corporate governance, or entity management.
Multinational experience: Experience working within a multinational corporate group or a corporate/professional services environment supporting multinational clients.
International entity management: Demonstrable experience managing overseas subsidiaries and legal entities across multiple jurisdictions, including coordination with local service providers.
Corporate governance: Strong company secretarial and corporate governance knowledge gained within a multinational environment.
Corporate documentation: Ability to independently draft board minutes, written resolutions, powers of attorney, shareholder resolutions, bank mandates, and related corporate documentation.
Compliance expertise: Strong understanding of statutory filing requirements, annual compliance obligations, corporate records, and entity maintenance.
Entity management systems: Experience maintaining entity-management systems and corporate records databases; experience with Diligent Entities or a similar platform is desirable.
Transaction experience: Experience supporting M&A, restructuring, financing, post-acquisition integration, or other corporate transactions would be a strong advantage.
External provider management: Experience instructing and managing corporate service providers, company secretarial agents, and external advisers across jurisdictions.
Execution processes: Experience managing notarisation, apostillation, and legalisation processes across multiple jurisdictions is desirable.
Communication: Excellent written and spoken English, with the confidence to communicate directly with directors, senior management, advisers, and international colleagues.
Organisation: Highly organised and methodical, with excellent project management skills and the ability to manage a high-volume workload and competing priorities.
Attention to detail: Rigorous approach to document production, corporate records, data accuracy, and compliance deadlines.
Independent judgement: Ability to work autonomously, prioritise effectively, exercise sound judgement, and recognise when escalation is required.
Stakeholder management: Strong interpersonal and stakeholder management skills, particularly when working with senior leaders and external advisers.
Resilience and adaptability: Positive, proactive, flexible, and resilient, with the ability to perform effectively under pressure and respond to changing priorities.
Global collaboration: Ability to work effectively with a UK-based legal team and stakeholders across multiple time zones, including occasional calls outside standard Indian working hours.
Technology skills: Proficiency in Microsoft Office, particularly Word, Excel, PowerPoint, and SharePoint .
Desirable qualifications: Fellow Company Secretary (FCS) status or additional qualifications in law, finance, governance, or compliance are advantageous.
Additional expertise: Experience with legal operations technology, process automation, sanctions, KYC/AML, regulated environments, UK company secretarial practices, or governance frameworks would be beneficial.
Industry exposure: Experience supporting entities across Europe, the Middle East, Africa, Asia-Pacific, or the Americas, or within shipping, logistics, infrastructure, energy, or other international service businesses, is desirable.
Private equity exposure: Experience working within a private equity-backed organisation would be an advantage.
