Duties and Responsibilities

1. Commercial Contracts & Joint Ventures

• Review, draft, and negotiate complex business contracts, including Joint Venture (JV) agreements and new transaction models.
• Provide business legal advice and risk assessments, taking into account the regulations of the Stock Exchange and the SEC.
• Provide opinions regarding Related Party Transactions, Conflict of Interest, and Inside Information.

1. Intellectual Property & Brand Protection

• Plan and manage the protection of the organization's intellectual property, trademarks, and copyrights.
• Handle intellectual property infringement and counterfeit goods cases, including civil and criminal litigation approaches.
• Provide advice on Anti-counterfeit measures to protect brand value and reputation.

1. Litigation & Dispute Resolution

• Manage the company's cases and disputes, from analysis, strategy formulation, and evidence preparation to conducting legal processes.
• Conduct litigation and represent the company in court personally, including managing cases from start to finish.
• Oversee Debt Recovery, business reorganization, and legal execution.
• Coordinate with external lawyers, investigators, courts, and relevant agencies.

1. Corporate Advisory & Strategic Risk Management

• Provide legal advice to internal departments, especially regarding labor law and the improvement of work regulations.
• Support Corporate Governance work and compliance with the CG Code.
• Provide advice on PDPA and manage legal risks, including Reputational Risk, to protect the organization's interests and reputation.

Qualifications:

• Bachelor's degree or higher in Law.
• Possess a lawyer's license (Lawyer Ticket).
• Have actual litigation experience and the ability to personally take responsibility for cases, from case analysis, strategy formulation, and evidence preparation to conducting proceedings and following up on cases until completion.
• Have experience in business law, contract drafting and negotiation, case management, and dispute resolution.
• Have knowledge and understanding of Public Limited Company law, Securities and Exchange law, including the regulations of the SEC and the Stock Exchange.
• Have an understanding of Related Party Transactions, Conflict of Interest, and Inside Information.
• Have experience in Litigation, Dispute Resolution, Intellectual Property, or Debt Recovery.
• Possess analytical skills and the ability to assess legal risks, linking legal issues to business impacts and proposing strategic solutions.
• Possess strong negotiation, communication, and coordination skills with executives and stakeholders, both internally and externally.
• Able to work proactively, demonstrate Ownership, and manage complex tasks that are important to the organization.
• Experience working in the legal department of a listed company, a law firm, or a large organization will be specially considered.
• Able to use English for reading, analyzing, and preparing legal documents well.
