- Complex Contractual Architecture & Negotiation: Draft, structure, review, and negotiate high-value commercial, EPC, equipment purchase, raw material supply, and international distribution contracts (bilingual Arabic/English) ensuring robust indemnities, dispute resolution clauses, and limitation of liability protections.
- Labor Law Governance & Sensitive Internal Investigations: Lead complex employee administrative investigations for major misconduct, policy breaches, and fraud under Egyptian Labor Law No. 12/2003; draft legally binding disciplinary recommendations and represent the company before the competent Labor Office.
- Litigation Strategy & External Counsel Management: Steer the Group's litigation docket across civil, commercial, labor, and economic courts; prepare defense strategies, legal briefs, and supporting evidence in collaboration with external litigation attorneys to minimize exposure.
- Corporate Affairs & Regulatory Governance: Oversee corporate legal actions under Companies Law No. 159/1981, Investment Law No. 72/2017, and Capital Market Authority regulations; prepare Ordinary and Extraordinary General Assembly meetings (OGM/EGM), Board minutes, and capital structure amendments.
- Regulatory Authorities & Industrial Licensing: Interface with senior government bodies including the Industrial Development Authority (IDA), GAFI, Ministry of Manpower, Environmental Affairs Agency, and Civil Defense to ensure all industrial and environmental operating licenses remain active.
- Intellectual Property & Asset Protection: Oversee the registration, maintenance, and legal enforcement of the Group's trademarks, trade secrets, patents, and domain properties before the Egyptian Trademarks and Industrial Designs Office.
- Official Authentication & Real Estate Affairs: Direct notary workflows at the Real Estate Publicity Department, including power of attorney (POA) administration, mortgage releases, land allocation agreements, and industrial facility property deeds.
- Legal Risk Mitigation & Team Mentorship: Conduct regular legal risk audits across procurement, sales, operations, and HR; develop standard contract playbooks, provide compliance training to operational heads, and mentor junior legal specialists.
- Education: Bachelor of Laws (LL.B.) from an accredited university. A Master of Laws (LL.M.) or specialized post-graduate diploma in Corporate Law, International Commercial Arbitration, or Private Law is highly preferred.
- Bar Association Status: Active registration and good standing with the Egyptian Bar Association – Appeal Court Admission is required.
- Professional Experience: 7 to 10+ years of progressive corporate legal experience within an industrial holding group, automotive, FMCG, or top-tier commercial law firm handling corporate matters.
- Legal Expertise: Deep mastery of Egyptian Commercial Law, Labor Law (No. 12/2003), Companies Law (No. 159/1981), Civil Law, Economic Courts procedures, and arbitration frameworks.
- Language & Drafting Mastery: Bilingual proficiency in Arabic and English; demonstrated ability to draft complex bilingual contracts, legal opinions, and litigation briefs.
- Leadership & Strategic Judgment: Sound commercial acumen, superior negotiation and conflict resolution capabilities, high emotional intelligence during investigations, and absolute integrity.
