ECF Group - Business Lawyer (M/F)

Reporting directly to the Legal Director, the Lawyer's mission will be to provide transverse legal support to all operational teams, covering a wide range of issues related to business law. Your main missions will be structured around the following axes:

Contract Law: you will be responsible for drafting and validating a wide variety of contracts, including framework sourcing contracts (purchase/sale), NTIC contracts, Terms of Use (CGU) for our web platforms and mobile applications, General Terms and Conditions of Sale (CGV), as well as the management of commercial leases. Corporate & Governance: you will ensure the legal secretariat for companies within the Francophone scope (France, Belgium, Morocco), managing both routine and extraordinary aspects (approval of accounts, statutory amendments, capital operations, transformations, preparation and holding of AG). You will also participate in the monitoring of our international entities (MENA, UK, Germany, Italy, Australia, New Zealand) and contribute to the management of legal dashboards and delegations of authority. Mergers & Acquisitions (M&A): you will lead merger operations, Universal Transfer of Assets (TUP), contributions, and the purchase/sale of goodwill for the France scope. This includes monitoring the integration of new companies, managing guarantees, registers, and existing shareholders' agreements, in close collaboration with statutory auditors. Legal Advisory: you will provide expertise and informed advice to the group's operational teams on all legal questions arising from their daily activities. Insurance Management: you will contribute to the integration and renewal of the group's annual insurance programs, providing support on these strategic files. Reporting & Monitoring: you will maintain up-to-date dashboards and administrative tools essential for monitoring legal activity.
