Reporting to the Corporate & Compliance Manager within the Group's Legal Department, your main missions will involve a portfolio of subsidiaries in France (approximately 20) and internationally (approximately 65): Legal secretariat for the Group's French companies: approval of annual accounts (drafting of the management report, minutes of General Meetings), monitoring of mandates, UBO, management of regulated agreements, RCS modifications, relations with statutory auditors, implementation of delegation of powers… Routine operations: Incorporation of companies, capital increases, transfer of shares and drafting of related minutes and reports, legal restructuring operations… International support: Participation in the drafting, validation, and monitoring of documentation relating to the legal life of foreign subsidiaries in partnership with local teams. Intra-group: Drafting, updating, and validation of intra-group agreements (service agreements, licenses, treasury agreements…) in connection with the finance and tax teams. Legal monitoring on the evolution of corporate law, updating of internal legal monitoring tools. Advising other Group employees. KYC procedures: Support to internal teams for all KYC requests addressed by Banks and the group's clients. Deployment and monitoring of the compliance program: Participation in the development of the Group's compliance policies (Signing and compliance with the Code of Conduct, awareness and monitoring on Sapin II topics, conflict of interest, duty of vigilance, international sanctions, contract review on ethical and compliance aspects…)
Holding a higher legal education (Bac + 5) in Business Law or equivalent (Master II and/or business school), you have 1 to 2 years of experience (excluding internships) in a similar position in a company, or in an international law firm. You have a strong interest in or a specialization in subjects related to compliance. You have experience in managing a portfolio of international companies. You have an excellent command of English (spoken and written). The corporate lawyer must possess excellent knowledge of corporate law and solid skills in legal drafting and analysis. They must demonstrate great versatility, adaptability, and proactive risk management. Equipped with a pragmatic approach oriented towards problem-solving, they must also demonstrate good interpersonal skills and be able to work autonomously on certain subjects.
