Senior M&A Legal Counsel M/F

YOUR ROLE:
Reporting to the M&A Legal Director, you will be responsible for providing legal advice and support for the implementation of complex and strategic external growth projects for the Group's international activities.
WHAT WILL YOU DO?
As a true partner to the operational teams and departments involved in the Group's external growth projects, your main responsibilities will be to:
- Structure and contribute to the execution of mergers and acquisitions (M&A), restructurings, disposals of businesses or holdings, private equity, partnerships, and infrastructure concessions.
- Guarantee and optimize the legal security of the files entrusted to you.
- Participate in and supervise due diligence.
- Prepare and supervise the drafting of contractual documentation, and then negotiate it.
- Manage the signing, closing, and post-closing phases.
You will develop a strategic and trusting relationship with your main internal clients and various stakeholders, in order to provide legal support and advice adapted to the business. You will be required to work cross-functionally with various legal experts in all relevant areas of law, such as corporate law, stock market law, contract law, finance law, etc.
WHO ARE WE LOOKING FOR?
Education: Strong academic background in civil and business law, ideally supplemented by a degree in common law abroad (LLM US/UK) or from a business school.
Experience: At least 6 years of experience in a large international industrial group or a leading business law firm (lawyer or solicitor). Ideally, expertise in managing public infrastructure disposals. Proven experience in corporate law, M&A projects, restructurings, disposals, private equity, partnerships, concessions, and infrastructure.
Language skills: Fluent command of English, both written and spoken, in civil and common law.
Professional qualities: Ability to work flexibly and reactively, by proposing solutions and leading projects autonomously, in accordance with the legislation and the contractual requirements of the Group and its growth areas. Concise, rigorous, organized, with a developed business sense and a natural appetite for project management. Good understanding of new technologies. Excellent interpersonal skills (dialogue and negotiation), which will make you a recognized and legitimate legal counsel.
