Corporate Secretary (ACRA & Immigration)
About us
Anlian Group Pte. Ltd. is a Singapore corporate services and immigration advisory firm. We help business owners and investors establish and run companies here, and we guide individuals and families through the work pass, Permanent Residence, family office and Global Investor Programme routes to settling in Singapore. Our clients are predominantly international, and a large proportion are from Greater China.
We are looking for a corporate secretarial professional who wants both halves of that work — the statutory discipline of ACRA compliance and the client-facing judgement of immigration advisory.
Core responsibilities
Incorporations and client onboarding
- Prepare constitutions and incorporate entities through BizFile+
- Issue share certificates and open the statutory registers
- Establish and maintain the Register of Registrable Controllers and the Register of Nominee Directors
- Conduct KYC and customer due diligence on new clients in line with the firm’s AML/CFT obligations as an ACRA-registered filing agent , and keep the records that obligation requires
- Manage transfer-in of corporate secretarial records from outgoing agents, and transfer-out when a client leaves, including handover of registers and minute books
Annual compliance cycle
- Schedule and convene AGMs within six months of financial year end, or apply the dispensation correctly where the company has resolved not to hold one
- Draft notices, resolutions, minutes and proxy forms
- Coordinate with auditors and tax agents so that financial statements and XBRL are ready ahead of the AGM and Annual Return
- File Annual Returns with ACRA within seven months of financial year end
- Track and coordinate ECI and Form C-S / Form C filing deadlines with the tax team, and GST registration and filing where applicable
Corporate changes
- Process director and company secretary appointments, resignations and cessations within the statutory 14 days
- Process share transfers, allotments, rights and bonus issues, capital reductions and share buy-backs
- Handle changes of registered office, company name, financial year end and SSIC codes
- Draft and lodge constitution amendments by special resolution
- Register and satisfy charges and mortgages
- Prepare and submit stamp duty applications through the IRAS e-Stamping portal for share and property transfers
Strike-off, dissolution and dormancy
- Manage voluntary strike-off applications and respond to ACRA queries and objections
- Advise on dormant company obligations and reduced filing requirements
- Coordinate with liquidators and creditors in members’ and creditors’ voluntary winding up
Immigration and work passes
- Prepare and submit first applications, renewals, cancellations and appeals for Employment Passes, S Passes, Dependant’s Passes, Long-Term Visit Passes and Letters of Consent
- Assess candidates against COMPASS and advise clients on how to improve a marginal score
- Prepare Permanent Residence applications, including through the family office and Global Investor Programme routes
- Support single family office applications under the section 13O and 13Uschemes, working with the advisory team on the substance requirements
- Liaise with MOM, ICA and EDB on application status, queries and appeals
- Advise clients on eligibility, documentation and realistic prospects before an application is filed
Compliance monitoring and client management
- Maintain the compliance calendar for AGMs, Annual Returns, pass expiries and renewal windows, and escalate ahead of deadlines rather than on them
- Keep Zoho CRM current — cases, deal stages, task ownership, and the billing records that follow from completed work
- Brief clients on Companies Act amendments and immigration policy changes that affect them
- Draft client-facing correspondence in clear English, and in Mandarin where the client prefers it
Requirements
Essential
- At least three years in a Singapore corporate secretarial role
- Working command of BizFile+ , CorpPass and IRAS e-Stamping
- Sound knowledge of the Companies Act 1967 and ACRA filing requirements
- Fluent English and conversational Mandarin. Mandarin is a genuine requirement of this role: a substantial proportion of our clients are Mandarin-speaking and the successful candidate will take instructions, explain statutory obligations and conduct KYC interviews directly with them
- The organisation to carry a portfolio of 50 or more client entities without losing track of a deadline
Advantageous
- Experience with MOM and ICA work pass and PR portals
- Familiarity with family office and Global Investor Programme requirements
- ICSA / CGI qualification, or progress towards it
- Experience in a registered filing agent environment with AML/CFT responsibilities
