Senior Transaction Manager

My client is seeking an experienced Senior Transaction Manager to join the Capital Markets team, with responsibility for managing the execution and ongoing administration of complex debt capital markets, structured finance and loan transactions. The role will work closely with issuers, lenders, legal advisors and internal stakeholders, providing technical expertise across transaction documentation, structuring and execution.

Key Responsibilities

• Lead the end-to-end execution and ongoing administration of complex capital markets, structured finance and loan transactions.
• Review, negotiate and interpret transaction documentation, ensuring contractual terms are aligned with the appointed roles, services and operational capabilities.
• Assess transaction structures and identify operational, documentation and execution risks, escalating matters where appropriate.
• Provide practical and commercially sound input on transaction structures, mechanics and execution requirements.
• Coordinate transaction onboarding, including documentation, execution and satisfaction of closing deliverables such as conditions precedent, conditions subsequent, security perfection and charge registration.
• Act as a key point of contact for issuers, borrowers, lenders, bondholders, legal advisors and other stakeholders throughout the transaction lifecycle.
• Oversee loan drawdowns, including verification of conditions precedent, coordination with lenders' counsel and monitoring of outstanding conditions subsequent.
• Lead discussions with lenders and other stakeholders on documentation interpretation, transaction mechanics and execution matters.
• Manage amendments, waivers, restructurings and other post-closing transactions, ensuring timely and accurate execution.
• Work closely with internal Legal, Compliance, Operations and Tax teams to facilitate seamless transaction execution and ongoing administration.
• Provide technical guidance and mentorship to junior team members, particularly on transaction documentation, structures and deal mechanics.
• Ensure transactions are managed in accordance with internal policies, control frameworks and applicable regulatory requirements.
• Support the Head of Capital Markets in enhancing procedures, improving operational efficiency and maintaining high service standards.
• Contribute to regional and global initiatives, including new product development, process enhancements and operational projects.
• Support management reporting and other compliance-related activities as required.

Skills, Experience and Qualifications

• 7–10 years of relevant experience in capital markets, corporate trust, transaction management, loan agency or a related banking environment.
• Strong technical knowledge of structured finance, loan transactions, debt capital markets and bond trusteeship.
• Experience reviewing and interpreting complex transaction and legal documentation.
• Strong understanding of transaction structures, deal mechanics and the roles of trustees, security agents, facility agents and other transaction parties.
• Strong analytical and problem-solving skills, with sound commercial judgement and attention to detail.
• Excellent stakeholder management skills, with the ability to work effectively with clients, lenders, legal counsel and other professional advisors.
• Proven ability to manage multiple complex transactions and competing deadlines in a fast-paced environment.
• Experience mentoring or providing technical guidance to junior team members.
• Excellent written and verbal communication skills in English.
• Chinese language capability would be advantageous to manage Chinese clients.
