Accountabilities:
Oversee all public company compliance obligations, including SEC filings (10-K, 10-Q, 8-K), proxy statements, and related disclosures
Lead SOX compliance, insider trading policies, Regulation FD adherence, and governance processes for earnings and reporting cycles
Advise the board of directors and committees on governance matters, including charters, independence, and fiduciary responsibilities
Manage legal function operations, including outside counsel relationships, legal spend, and scalable legal infrastructure development
Design and strengthen internal controls, compliance frameworks, and risk governance structures across the organization
Oversee equity compensation programs, including stock options, RSUs, and 409A valuations
Draft and negotiate executive employment agreements, severance arrangements, and equity documentation
Provide legal oversight across employment law matters throughout the organization’s portfolio companies
Serve as a trusted advisor to leadership during regulatory inquiries, disputes, transactions, and crisis situations
Deliver clear, practical legal guidance that enables informed and strategic business decision-making
Requirements:
10+ years of legal experience, including public company experience or advising public companies in an outside counsel capacity
Strong expertise in SEC reporting, SOX compliance, corporate governance, and public company operations
Proven ability to build and scale legal functions, systems, and processes in high-growth or resource-constrained environments
Deep understanding of equity compensation structures, employment law, and executive agreements
Experience working across multiple industries with strong adaptable legal judgment
Demonstrated ability to support boards of directors and communicate effectively with executive stakeholders
Strong commercial mindset with a track record of enabling business outcomes through legal strategy
Exceptional communication skills, executive presence, and ability to influence at board level
J.D. from an accredited law school required
Experience in M&A, capital markets, commercial contracting, or data privacy regulations (GDPR/CCPA) is a strong plus
Low-ego, hands-on leadership style with ability to mentor and develop legal talent
