Accountabilities Lead and execute complex public and private M&A transactions globally, including acquisitions, divestitures, joint ventures, and strategic minority investments.

Coordinate multidisciplinary due diligence and assess material legal, operational, regulatory, contractual, intellectual property, labor, compliance, environmental, and sector-specific risks.

Lead the negotiation and execution of letters of intent, NDAs, purchase agreements, transition services agreements, and related transaction documentation.

Advise Corporate Development and senior executives on transaction strategy, deal structure, risk allocation, regulatory considerations, and integration implications.

Partner with Finance, Tax, HR, Compliance, and business leaders on transaction structuring, working capital, indemnification, target-company compliance, and post-closing integration.

Manage external legal counsel to ensure high-quality, efficient, cost-effective transaction execution and alignment with strategic objectives.

Support corporate governance activities, including subsidiary management, global entity maintenance, delegated authorities, treasury and financing matters, investor communications, and sustainability-related initiatives as needed.

Develop and continuously improve M&A playbooks, templates, processes, and organizational capabilities while mentoring junior legal professionals.

Requirements

Juris Doctor (J.D.) degree with active bar membership in the United States or United Kingdom.

10+ years of experience leading sophisticated M&A transactions within a major law firm, such as an AmLaw 100 firm, and/or a global corporate legal department, ideally within a Fortune 500 environment.

Deep expertise in corporate law, cross-border public and private M&A, transaction structuring, and complex commercial negotiation.

Proven ability to manage multiple concurrent transactions and workstreams while maintaining strong attention to detail, sound judgment, and execution discipline.

Demonstrated experience advising senior executives and other stakeholders on high-stakes legal, commercial, and strategic matters.

Strong knowledge of global regulatory considerations, including antitrust requirements and industry-specific regulatory frameworks.

Excellent communication, negotiation, relationship-building, and stakeholder-management skills, with the ability to translate complex legal issues into practical business guidance.

Experience in industrial, technology, manufacturing, water, consumer products, pharmaceutical, environmental services, technology, or other regulated industries is a plus.

Experience with public-company governance, capital markets, corporate secretary responsibilities, or subsidiary management is advantageous.

Familiarity with the Securities Act of 1933, Securities Exchange Act of 1934, and NYSE Listing Standards is also a plus.
